LICENSE TERMS & CONDITIONS

NO ROYALTY, NON-EXCLUSIVE LICENSE (MECHANICAL)  AGREEMENT

By downloading Eternal Vacancy (Soundtrack Remastered) you accept the following license agreement:

LICENSE GRANT

The provided audio file(s), containing musical composition and/or special effects considered Sound Design, any samples thereof, accompanying metadata or other identifying information, and any graphic(s) provided by Author that identify the sound, the (“SONG(s)”), can be used for your single commercial or non-commercial project, single film, television, videogame, trailer, or other single audio/video post-production, performance, broadcast or similar finished content creation, your (“PRODUCT”) with no further permission required from Author under the terms of this Agreement.

IN THE EVENT of multiple versions of the single PRODUCT, such as re-releases, prequels, sequels, series, remasters, special editions, or multiple broadcasts ("REUSE"), no further permission to reuse the SONG or additional License Fee is required. However that any and all REUSE PRODUCTS must attribute Author as mentioned below.

Multiple use of the SONG, or any part thereof, for various promotions of the same PRODUCT or REUSE PRODUCT is allowed and does not constitute a violation of this Agreement.

The license for this SONG is granted only to ONE USER, which may be an individual as a developer, studio, or production company ("SINGLE PERSON")--or multiple users within a single developer, studio, or production company ("SINGLE COMPANY"). A SINGLE PERSON--OR a SINGLE COMPANY--each is considered ONE USER under this non-exclusive, no-royalty, no sub- license Agreement, which shall remain valid in perpetuity unless terminated for any violation described below. Either Single Person or Single Company is the LICENSEE.

Downloading and use of the SONG is at the Licensee’s own risk. Author holds no responsibility for any direct or indirect loss arising from any form of use of this SONG.

RIGHTS

Author represents and warrants that it has the authority to enter into this Agreement and grant the rights granted herein. No other consent is required for Author to fully perform hereunder. Author further represents and warrants that nothing in the SONG, including any samples or graphics, violates or infringes any right of any third party, and the SONG is free of third-party ownership.

Author allows ONE USER or Licensee to download, save, copy, mix, edit, master, and down/up sample for the ability to transcribe or otherwise insert the SONG into your PRODUCT, the (“MECHANICAL RIGHTS”) once the License Fee has been paid, and without any further claims to royalties or other reimbursement by Author, except in the instances of judiciary compensation such as damages for violation of this Agreement.

ONE USER or Licensee has the right to receive from Author, through the distribution channel or platform where the SONG was purchased or licensed, a digital audio file in a lossless format (offered in WAV, FLAC, or AAC) and accompanying image or graphic in PNG format. The SONG description, metadata, theme or mood styles are listed on the distribution channel or platform where the SONG was purchased or licensed.

Author retains full copyright privileges and complete ownership of the SONG, whether it is used in any PRODUCT or REUSE PRODUCT, and invokes Moral Rights ["to claim authorship of the work and to object to any distortion, mutilation or other modification of, or other derogatory action in relation to, the said work, which would be prejudicial to his honor or reputation”] to the SONG under Title 17 of the U.S. Copyright Law, and Droit Moral under Dutch Copyright Law (Auteurswet), and under all similar international treaties or laws for the protection of copyrighted works.

ATTRIBUTION TO AUTHOR is a requirement under this Agreement and must include Author's name specifically as Nene Veenman, and title as Composer for PRODUCT and REUSE PRODUCT. Any other industry-standard, or in-house title for the same role, terms such as musician, music performed by, music by, or theme song written by is perfectly acceptable and does not constitute any violation hereof.

TERMINATION

In the event of any expiration or no-fault termination of this Agreement, Licensee may keep the SONG in any single PRODUCT or REUSE PRODUCT, and any related promotional materials, that was published, green-lit for release, or otherwise released prior to the date of such expiration or termination in the manner set forth above.

FOR USER TERMINATION, please send written notification to Exobia Legal Services at legal@exobia.com. Upon request confirmation by Exobia Legal Services, this License shall be considered terminated at the date of reply sent by Exobia Legal Services.

VIOLATION of this Agreement shall be any of the following actions by USER, which makes this License null and void and demands the immediate removal of the SONG from USER'S PRODUCT or REUSE PRODUCT without compensation:

1. Redistribution, Resell, or Sublicense of the SONG outside or separate from the PRODUCT or REUSE PRODUCT;

2. Distribution, Sale, or License of any altered version of the SONG that is published or released by USER or Licensee, such as a Remix, DJ's Mix, or Resample;

3. Licensee’s use of the SONG in a project or development different from the PRODUCT or REUSE PRODUCT for which the license fee was paid;

4. If the SONG, or any component, sample, or related images or graphics thereof, is included in any virtual or digital currency or ownership scheme such as NFT (Non-Fungible Token), Bitcoin, Blockchain, or any similar digital, virtual, or computer-generated financial or ownership scheme developed now or in the future. Any PRODUCT, REUSE PRODUCT, or any section of those, that may take part in any virtual, digital, or computer-generated financial or ownership scheme must NOT contain any portion of the SONG licensed herein;

5. Violation of the Moral Rights Clause;

6. USER- or Licensee’s personal/business-related publication, broadcast, release, or external submission of the SONG outside or separate from the PRODUCT or REUSE PRODUCT. For example, the SONG may NOT be used, published, submitted to contests, broadcasted, or performed as promotion for--or endorsement of--personal or business activities by the Licensee/USER, USER's vendors, or employees.

7. Licensee or USER shall NOT use the SONG in a way that may bring:

a. Infringement of Author's intellectual property rights (including copyrights, patents, trademarks, and branding), or intrusion of Author's privacy rights.

b. Any act involving the SONG that causes damage to the Author, Author's reputation, or Author's business activities.

c. Any act involving the SONG that violates or may violate laws and regulations, or public order and morals.

d. Any act that may incur losses to the Author; or any act that may damage public confidence in Author or Author's reputation.

8. USER or Licensee was or is not of legal age within residential jurisdiction at the time of downloading and purchasing the license for SONG. USER or Licensee WARRANTS that he or she is able to enter into a legally binding agreement.

Where the Licensee or USER violates any clause in this Agreement, the Author reserves the rights to terminate this License. In such an event, Author shall not be liable for any loss or damage caused by such Termination and shall not be liable to refund or reimburse USER or Licensee.

JURISDICTION

This Agreement is governed by and interpreted in accordance with the laws of The United States of America, and The Kingdom of The Netherlands. All disputes arising in connection to the clauses under this Agreement shall fall under the jurisdiction of courts in Amsterdam, The Netherlands.

If any provision of this License, or any particular instruction given under this Agreement, is held to be invalid or unenforceable by law, the remaining provisions shall continue in full force and be effective.
